Stephen Ruch

Current position and responsibilities:
Stephen Ruch is President and CEO of Clark Brands, LLC. He has over 23 years of experience in sales, business development, operations, and strategic planning in the payments industry. In this role, he is responsible for developing and leading the growth strategy for the business. He has full P&L responsibility, and Mr. Ruch is tasked with ensuring the company achieves its strategic and financial targets.

Previously held positions:
Prior to joining Clark Brands in August of 2014, Mr. Ruch was Senior Vice President, Growth, Innovation and Planning with MasterCard Worldwide. In this role, he was responsible for driving the global strategy and developing innovative solutions for new business initiatives throughout Franchise Development. He had oversight responsibility for Strategy, Education & Planning, Brand Licensing, Registration & Brand Standards, as well as ensuring Regional Alignment across Franchise Development on a global basis.

Prior to MasterCard, Mr. Ruch was Senior Vice President of Merchant Services at Commerce Bancshares in Kansas City, Missouri. As head of Commerce’s Merchant Acquiring division, Mr. Ruch oversaw strategic planning, sales, account management, operations, product development, underwriting, risk, and compliance, and he had overall responsibility for the profitable growth and performance of the Acquiring business.

Prior to Commerce Bancshares, Mr. Ruch spent three years with CNH Capital, where he was responsible for the growth and development of CNH Capital’s Private Label Credit Card, Consumer Finance and Insurance businesses on a national basis.

Mr. Ruch also spent 17 years with Fifth Third Bank Processing Solutions (now Vantiv) where he held positions of increasing responsibility in both the Financial Institutions and Merchant Acquiring divisions until his departure in 2006 when he was serving as Director of Retail Sales and Operations.

Stacey Yimet

Current position and responsibilities:
Stacey Yimet is the Chief Financial Officer and Chief Operating Officer of Clark Brands, LLC. As a founder of Clark Brands, during its 12-year history, he has a unique view of the company, its history, and its capabilities. He is responsible for managing all aspects of the Company’s Financial, Accounting, IT, Operations, Compliance, and Customer Service activities and personnel. He is an active member of the Board of Managers and provides input to the strategy of the Company.

Previously held positions:
Prior to helping found Clark Brands, LLC, Mr. Yimet was a member of the management team of Clark Retail Enterprises, Inc., serving in a variety of roles of progressively increasing areas of responsibility during his 16 years with the company. As Director, Petroleum Supply & Transportation, his responsibilities included management of petroleum supply and transportation for 1.1 billion gallons annually and associated RFP process and vendor negotiations to procure supply and transportation services.

As Director, Planning & Analysis, Mr. Yimet’s responsibilities included developing an offering memorandum to sell the company for $230 million, development and management of capital investment plans for $40 million annual budget, acquisition activities for four competitor acquisitions, as well as all financial and operational analysis for the company. As Operations Manager, his responsibilities included full P&L accountability for 162 convenience stores in the State of Michigan.

Priceline Webhouse Club
As Director, Project Management, Mr. Yimet served in a dual role of business liaison and project manager, where he was responsible for managing three databases for the gasoline business model, leading all development efforts for systems enhancements for the business side, and providing vendor management for pricing and merchant information. Mr. Yimet worked directly with the Sales Team to make systems enhancements to support the evolving business model.

Education profile
Mr. Yimet is a graduate of the University of Missouri – St. Louis with a Bachelor of Science in Business Administration Degree, Finance. He graduated Cum Laude.

Military
Mr. Yimet is a U.S. Navy Veteran, serving as a Machinist’s Mate 3rd Class, qualified Mechanical Operator in the Navy’s Nuclear Power Program.

Dennis Zaslavsky


Principal
Waveland Investments, LLC

Mr. Zaslavsky founded Waveland in 2000. Since 2000, Mr. Zaslavsky has sourced and invested in over 30 transactions. He oversees and/or serves on the boards of Clark, Mell & Company, O2 Cool, and Gourmet Gifts.

Mr. Zaslavsky began his career as a corporate attorney at Katten, Muchin, Rosenman. Prior to founding Waveland, Mr. Zaslavsky was Chief Operating Officer of Urban Shopping Centers, Inc., a publicly traded Real Estate Investment Trust (NYSE:URB).

Mr. Zaslavsky received his J.D. from Stanford University and his Bachelor of Business Administration degree from the University of Michigan. Mr. Zaslavsky is a Certified Public Accountant.

Meghan Otis


Principal
Waveland Investments, LLC

Ms. Otis has over 20 years of experience in private equity and finance. She oversees and serves on the boards of Clark Brands, Justice Design Group, Fluidmesh Networks and Indiana Business Bank. She is responsible for sourcing investment opportunities, structuring and negotiating transactions and portfolio management. Ms. Otis previously worked at Goldman, Sachs & Co. and LaSalle Partners. Ms. Otis received her M.B.A. from Harvard Business School and a Bachelor of Arts in Mathematics from Northwestern University.

Paul Melnuk

Managing Partner
ABGB Capital, LLC

Mr. Melnuk graduated from the University of Manitoba, Canada, in 1976 and qualified as a Chartered Accountant in Canada in 1979. From 1980 until 1988 when he joined The Horsham Corporation (“Horsham”) in Toronto, Canada, as Chief Financial Officer, he served in several capacities in investment and merchant banking organizations. Horsham was a significant investor in industrial and other businesses. From 1992 to 1994, he served as President and a Director of Horsham. Since 1992, Mr. Melnuk served successively as President, Chief Executive Officer and a Director of Clark USA, Inc. (1992-1998), a Fortune 500 St. Louis based independent refiner and marketer of petroleum products; Barrick Gold Corporation (1998-1999), a Canadian based international gold mining company; and Bracknell Corporation (1999-2001), a $1.3 billion electrical, mechanical and telecommunications infrastructure services company based in Minneapolis, Minnesota. Mr. Melnuk was a co-founder and Managing Partner of FTL Capital, LLC., a private St. Louis based principal investment firm from 2002 until the sale of his interest in April, 2015. Me. Melnuk is currently founder and Managing Partner of ABGB Capital LLC., a principal investment company based in Orlando, Florida. He is also a director of Clark Crown Brands LLC since 2003, a private company that licenses gasoiline brands to independent dealres and offers payment processing services to gasoline and convenience stores primarly in the mid-western United States. Mr. Melnuk has served as a director of a number of privately held companies and Petro-Canada, Inc., an integrated oil and gas company that was head officed in Calgary, Alberta, Canada.

Paul Ebner

President & CEO
Rosemore, Inc.

Paul J. Ebner has served on the Board of Managers of Clark Brands, LLC since October 2013. Mr. Ebner has been the President, Chief Executive Officer and a Director of Rosemore, Inc., a Baltimore, MD-based private investment firm with interests in the oil and gas industry, since June 2010. Mr. Ebner has been employed by Rosemore, Inc. since January 2007 when he was hired as Executive Vice President and Chief Operating Officer, principally responsible for the Company’s three operating subsidiaries – Tema Oil and Gas Company, Gateway Gathering and Marketing Company and Crown Central LLC. Mr. Ebner has 41 years of operations, administrative and management experience in the oil and gas and petroleum refining and marketing industries. Prior to joining Rosemore, Inc. in 2007, Mr. Ebner was employed by Crown Central LLC, successor by merger to publicly traded Crown Central Petroleum Corporation, and held numerous executive positions over his last 15 years there, including serving as a Director (since March 2005), President (from September 2004 to December 2006), Senior Vice President – Marketing, Vice President – Shared Services and Vice President – Marketing Support Services. He earned a Bachelor of Arts in Business Management, with a concentration in Accounting, from Loyola University Maryland in 1984.
